This license agreement (“License”) is between Wenlin Institute, Inc. (“Wenlin”) and you as the licensee (“You” or “Licensee”) of the software (“Software”). The Software includes the programs, data, databases, documentation, and other information, whether on disk, CD-ROM, or any other media, and other materials.

You must accept this License, including all its terms, before you can use this Software. Using the Software indicates that you agree to be bound by the terms of the License. If you do not accept the License, promptly return the Software for a refund.

This License is a non-exclusive license to use the Software by a single user. Concurrent use by more than one user requires multiple licenses, one for each concurrent user, or else a multi-user license. A multi-user license must be identified as such, in writing, by Wenlin, specifying the maximum allowed number of concurrent users. If the license is not explicitly identified in writing by Wenlin as a multi-user license, then it is a single-user license and concurrent use is prohibited.

Permitted Uses and Restrictions

You may install the Software onto a hard disk in order to use it, as long as you do not make it possible for the Software to be used in violation of this License.

If this is a multi-user License, you may run the Software on a local network, as long as you do not make it possible for the Software to be used in violation of this License.

It must never be possible for the Software to be used by more than the maximum allowed number of concurrent users.

You may make one archive copy of the Software solely for protection against accidental loss, provided that you include with that copy all copyright and other proprietary notices that are on the original Software.

If this is a multi-user License, you may transfer the Software and all rights stated under this License to another party, provided that you notify Wenlin in writing prior to the transfer. You must provide the receiving party with a copy of the Wenlin Software License, and the receiving party must read and understand this License. Furthermore, in such a transfer, you may not retain any copies of the Software. A multi-user License can only be transferred as an indivisible group. You may not transfer the License for some of the maximum number of concurrent users, and retain a License for the remainder of the maximum number of concurrent users.

If this is not a multi-user License, you may transfer the Software and all rights stated under this License to another party. You must provide the receiving party with a copy of the Wenlin Software License, and the receiving party must read and understand this License. Furthermore, in such a transfer, you may not retain any copies of the Software.

A student’s “flashcard” score is for the student’s private use only, and must not be used for academic credit or grading.

If you have obtained an upgrade version of the Software (for the applicable upgrade fee, if any), it constitutes a single product with the Wenlin Software that you have upgraded. For example, the upgrade and the Software that you upgraded cannot both be available for use by two different people at the same time, and cannot be transferred separately.

You may not change or adapt, translate, recompile, resell for profit or added value, distribute, loan, or in any way create derivative works based upon the Software, or any part related thereof.

You may not decompile, disassemble, reverse-engineer or in any way reduce the Software to a human-readable form.

Except as provided in this License, you may not transfer, rent, lease, lend, copy, modify, translate, sublicense, time-share, or electronically transmit or receive the software, media, or documentation.

Exportation of software is regulated by United States and international laws.

Use, duplication, or disclosure of the Software by the United States Government is subject to the restricted rights applicable to commercial computer software (under FAR 52.227-19 and DFARS 252.227-7013).

Limited Warranty

Wenlin warrants that the media (disks or CD-ROM) on which the Software is distributed are free from defects in materials and workmanship for a period of ninety (90) days from the date of purchase. Any written or oral information or advice given by Wenlin distributors, dealers, agents or employees will in no way increase the scope of this warranty.

If the Software fails to meet the specifications of the warranty set forth above, Wenlin’s liability and your exclusive remedy will be replacement of the media or a reasonable effort to make the product meet the above warranty specification. This limited warranty applies only if you return all copies of the Software along with a copy of your paid invoice to Wenlin within ninety (90) days of purchase. Any replacement Software will be further warranted for ninety (90) days from date of receipt.

These remedies are not available outside of the United States and its territories or Canada.

Limitation of Liability

In no event shall Wenlin or its suppliers be liable for any damages (including but not limited to damages for loss of profits, business interruption or loss of information) arising out of the use of (or inability to use) the Software or any data supplied with it. Because some states do not allow for the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.

General

All rights not expressly granted to you are retained by Wenlin.

This License is governed and interpreted in accordance with the laws of the State of California. If any provision of this License is found void or unenforceable, the remainder shall continue in full force and effect.

This License constitutes the entire agreement between you and Wenlin with respect to the use of the Wenlin Software, and supersedes all prior or contemporaneous understandings regarding such subject matter. No amendment to or modification of this License shall be binding unless in writing and signed by Wenlin.
